JOB DUTIES/RESPONSIBILITES

The successful candidate will be charged with responsibility for:

  • Providing and managing legal support for transactions and other matters in connection with real property assets (including nuclear, fossil and solar generation assets, transmission/distribution infrastructure, and support service facilities) in a four-state service area, including real property acquisitions/dispositions, easement/servitude acquisitions, leasing, and property management and service agreements.
  • Assistance with support in connection with both asset purchase and equity transactions involving real property assets, including title and survey due diligence, preparing title and survey objections, monitoring closing conditions/contingencies related to real estate, and preparing/reviewing transaction agreements and closing documentation.
  • Assisting with legal support for transactions involving joint use of utility poles and infrastructure with telecommunications companies (e.g., fiber projects, tower leases).
  • Drafting and negotiating purchase and sale agreements, options, closing documents, leases and licenses, easements/servitudes, and other agreements.
  • Advising senior attorneys and company management on real estate matters, including identification and analysis of business and legal risks; drafting, negotiating and providing legal advice with respect to commercial contracts including NDAs, supply agreements and service agreements, facility reimbursement agreements, and utility service/extension arrangements.
  • Providing legal and transactional support, as needed, for storm, restoration, and other emergency events.

 

MINIMUM QUALIFICATIONS

Minimum experience and education required

Senior Counsel: 

  • 5+ years of experience as an attorney with transactional commercial real estate experience (including at a private law firm or corporate legal department).
  • Prior employment at a nationally recognized law firm is a plus.
  • Experience with alternative energy (e.g., solar, wind) capital projects, or with regulated public utilities is also a plus.

 

Assistant General Counsel: 

  • 12+ years of as an attorney with transactional commercial real estate experience (including at a private law firm or corporate legal department).
  • Prior employment at a nationally recognized law firm is a plus.
  • Experience with alternative energy (e.g., solar, wind) capital projects, or with regulated public utilities is also a plus.
  • Membership in good standing with the Louisiana or Texas state bar with no prior suspensions or disciplinary history.
  • Juris Doctor degree is required.

 

Knowledge, skills, and abilities needed:

  • Broad-based knowledge and experience with title insurance and survey matters, including understanding of title insurance coverages/endorsements and associated underwriting requirements.
  • The selected candidate must have the ability to perform well in team-oriented environments and be comfortable interacting with members of senior and executive management.
  • The selected candidate must be able to manage multiple unrelated matters and to meet deadlines and client expectations, including the ability to prioritize and work both independently and as part of a multi-disciplinary team.
  • The selected candidate should have excellent academic credentials; strong interpersonal and communication skills; a solid work ethic; demonstrated success in prior employment; excellent organizational, planning and project management skills; and an intellectual curiosity to learn.
